$PBF Energy President Paul T Davis sold 75,997 shares for $4.99 million on August 4, 2026, the same week CEO Matthew C. Lucey disclosed $16.2 million in open-market sales. The shares were sold at an average price of $65.71, according to a Form 4 filing dated August 5, one day after the trade. Following the sale, Davis held 183,426 shares.

The August 4 sale was Davis's fourth open-market disposition in less than nine months. He sold 50,000 shares at $38.00 on November 10, 2025, for roughly $1.90 million. Two sales followed in March 2026: 50,000 shares at $44.80 on March 4, yielding about $2.24 million, and another 50,000 shares at $51.48 on March 27, for approximately $2.57 million. Across all four transactions, Davis sold 225,997 shares for aggregate proceeds of roughly $11.71 million. After each 2026 sale, his reported holdings remained at 183,426 shares.

Lucey's sales came on August 3, one day before Davis's transaction. The CEO sold 120,000 shares at $71.62, bringing in about $8.59 million, and an additional 105,473 shares at $72.25 for roughly $7.62 million. The single-day total was $16.21 million. Together, the two executives sold over $21.2 million of $PBF stock across August 3 and 4.

The executive sales followed a series of disposals in July by Control Empresarial de Capitales S.A. de C.V., a 10% owner of $PBF Energy. Between July 6 and July 22, the entity reported five open-market sales totaling approximately $24.57 million. The transactions ranged from a $670,246 sale of 10,000 shares on July 22 at $67.02 per share, to a $7.72 million sale of 120,000 shares on July 20 at $64.35 per share.

$PBF Energy shares closed at $65.89 on August 4. The stock hit an intraday high of $74.74 on July 30 before pulling back in early August. Davis sold at $65.71, below that day's close. Lucey's trades at $71.62 and $72.25 were closer to the upper end of the stock's late-July range.
